Management Information Circular Clarification
Falcon would like to clarify the disclosure in the Management Information Circular. At present, the compensation committee includes Jan Van Holsbeeck, an independent director who is not standing for re-election. Therefore, at this time the compensation committee is comprised of a majority of independent members of the Board. The disclosure for the compensation committee on page 6 of the Circular should have included the same disclosure as that of the audit committee, of which Mr. Van Holsbeeck is also currently a member. The Company intends to replace Mr. Van Holsbeeck with an independent director who will be either one of the existing independent directors who is not currently a member of the Compensation Committee or adding one of the new nominees being proposed for election as a Director at the Annual and Special Meeting to be held October 6, 2008.
